These Terms of Service (“Terms,” “Agreement”) govern your access to and use of the services provided by Nuvira Technologies, LLC d/b/a ChartWise AI (“ChartWise AI,” “Company,” “we,” “our,” or “us”).

By creating an account, accessing, or using our website, mobile applications, AI-powered tools, or related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Eligibility

  • You must be at least 18 years old to use the Services.

  • By using the Services, you represent that you have the legal authority to enter into this Agreement.

2. Account Registration

  • You may need to create an account to access certain features.

  • You are responsible for maintaining the confidentiality of your account credentials.

  • You agree to notify us immediately of unauthorized use of your account.

3. Permitted Use

You may use the Services solely for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services to violate applicable law, regulation, or third-party rights.

  • Upload, transmit, or store harmful, obscene, or infringing content.

  • Attempt to interfere with or compromise the integrity of the Services.

  • Reverse engineer, scrape, or misuse the Services.

4. Healthcare Disclaimer

  • ChartWise AI provides AI-powered tools to assist with documentation and workflow efficiency.

  • The Services are not a substitute for professional medical judgment. You remain solely responsible for verifying the accuracy and appropriateness of any outputs.

  • We do not provide medical advice, diagnosis, or treatment. Always seek the advice of qualified healthcare professionals with any medical questions.

5. Subscriptions & Payments

  • Certain Services may require payment of subscription fees.

  • Fees, billing terms, and renewal conditions will be presented at the time of purchase.

  • All payments are processed by third-party providers; we do not store full payment information.

  • Subscription fees are non-refundable unless otherwise required by law.

6. Intellectual Property

  • All content, software, AI models, and technology associated with the Services are the exclusive property of ChartWise AI or its licensors.

  • You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

  • You retain ownership of content you upload but grant us a license to process and use it solely for providing the Services.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms.

8. Data Security & HIPAA

  • We implement industry-standard safeguards to protect data.

  • If you use the Services to process protected health information (“PHI”), you agree to do so in compliance with HIPAA and applicable law.

  • ChartWise AI may enter into a Business Associate Agreement (“BAA”) with covered entities when legally required.

9. Termination

  • We may suspend or terminate your account at our discretion if you violate these Terms.

  • You may cancel your account at any time; however, subscription fees are non-refundable except as provided in Section 5.

10. Limitation of Liability

To the maximum extent permitted by law:

  • ChartWise AI shall not be liable for indirect, incidental, or consequential damages.

  • Our total liability for claims relating to the Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

  • We make no warranties that the Services will be error-free, uninterrupted, or produce specific results.

11. Indemnification

You agree to indemnify and hold harmless ChartWise AI, its affiliates, and employees from any claims, damages, or liabilities arising from your use of the Services or violation of these Terms.

12. Changes to Terms

We may update these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms.

13. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

  • Any disputes shall be resolved through binding arbitration in Florida, unless prohibited by law.
